Item 8.01Other Events.

 

On March 1, 2018,  the board of directors of Rocky Brands, Inc. (the “Company”) authorized a new share repurchase program of up to $7,500,000 of the Company’s common stock (the “Repurchase Program”). Repurchases under the Company’s new program will be made in open market or privately negotiated transactions in compliance with Securities and Exchange Commission Rule 10b-18, subject to market conditions, applicable legal requirements, and other relevant factors. The Repurchase Program is expected to be completed over the next 12 months.



On March 5, 2018, the Company issued a press release announcing the authorization of the Repurchase Program, a copy of which is attached hereto as Exhibit 99 and incorporated herein by reference.
